1. Acceptance of Terms
By accessing or using Flood Gates ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (or the organization you represent) and Flood Gates.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
To use Flood Gates, you must meet the following requirements:
- You must be at least 21 years of age (or 18 years of age where permitted by your state's cannabis regulations)
- You must hold valid state-issued cannabis licenses for any cultivation operations you track through the platform
- You must be authorized to bind the organization on whose behalf you are using the Service
- You must comply with all applicable federal, state, and local laws regarding cannabis cultivation
3. Account Responsibilities
When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must notify us immediately if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your credentials.
4. Permitted Use
Flood Gates is designed for the following lawful purposes:
- Managing licensed cannabis cultivation operations
- Tracking compliance with state regulations and Metrc requirements
- Financial record-keeping for cannabis businesses
- Team collaboration within your organization
- AI-assisted analysis and reporting of your operational data
You must comply with all applicable laws and regulations when using the Service, including but not limited to state cannabis licensing requirements and reporting obligations.
5. Prohibited Use
You may not use Flood Gates for any of the following:
- Tracking unlicensed or illegal cannabis cultivation
- Any activity that violates federal, state, or local law
- Reverse engineering, decompiling, or disassembling the Service
- Automated scraping, crawling, or data extraction
- Sharing account credentials with unauthorized individuals
- Attempting to bypass security measures, authentication, or access controls
- Interfering with or disrupting the Service or its infrastructure
- Uploading malicious code, viruses, or harmful content
6. AI Assistant Disclaimer
Flood Gates includes an AI-powered assistant that provides insights, analysis, and recommendations based on your operational data. Important limitations apply:
- AI responses are informational only and do not constitute legal, agricultural, financial, or professional advice
- You must verify AI outputs independently before making business decisions
- AI-generated compliance suggestions do not guarantee regulatory compliance
- We are not liable for any decisions made based on AI assistant responses
The AI assistant uses Anthropic's Claude model. While we strive for accuracy, AI systems can produce errors, hallucinations, or outdated information. Always consult qualified professionals for legal, tax, and regulatory matters.
7. Intellectual Property
Flood Gates and its licensors own all rights, title, and interest in the Service, including its code, design, branding, documentation, and any AI models or algorithms used. Nothing in these Terms grants you ownership of the Service or its intellectual property.
Your data belongs to you. You retain all ownership rights to the data you input into Flood Gates. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of operating and improving the platform. This license terminates when you delete your data or close your account.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Key principles:
- We do not sell your data
- Your data is encrypted at rest and in transit
- Organization data is isolated via row-level security
- You can export or delete your data at any time
9. Service Availability
We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.
We do not provide a Service Level Agreement (SLA) for free-tier accounts. Paid plans may include uptime commitments as specified in your subscription agreement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERPALYZE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Termination
Either party may terminate this agreement at any time. You may close your account through the platform settings or by contacting us. We may terminate or suspend your account if you violate these Terms or engage in prohibited use.
Upon termination, you will have 30 days to export your data. After this period, your data will be deleted in accordance with our data retention policy described in the Privacy Policy.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal disputes arising from these Terms shall be resolved in the state or federal courts located in California.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice via email or in-app notification before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
